We are looking for a seasoned Legal Professional to take on a senior role focused on corporate legal affairs, contract management, and high-value transactions. This position requires a strong blend of commercial acumen and legal expertise to support complex business operations. You will play a critical role in structuring, reviewing, and executing contracts while actively contributing to strategic initiatives such as mergers, joint ventures, and collaborations. The role involves close interaction with senior leadership and external stakeholders, ensuring legal frameworks enable business growth while minimizing risk.
Key Responsibilities
- Draft, review, and negotiate a wide range of commercial agreements including service agreements, manpower contracts, O&M agreements, SLAs, MoUs, and other legal documents
- Manage the complete contract lifecycle, ensuring compliance, accuracy, and risk mitigation
- Support corporate transactions such as mergers & acquisitions, joint ventures, collaborations, and shareholder arrangements
- Conduct detailed legal due diligence, prepare transaction checklists, and coordinate with external legal counsel
- Assist in banking-related documentation including loan agreements, sanction letters, and escrow arrangements
- Provide legal support across areas such as software licensing, AI-related agreements, real estate, employment and labour matters, POSH compliance, CSR, and related party transactions
- Collaborate closely with senior management and business heads to understand requirements and provide legal guidance
- Ensure adherence to corporate laws, company regulations, and applicable statutory frameworks
- Identify legal risks proactively and recommend practical, business-aligned solutions
What Makes You a Great Fit
- Qualified legal professional with a 5-year integrated law degree (LLB/LLM) from a reputed institution
- 8–15 years of experience in corporate law, company law, and commercial legal functions
- Mandatory 3–5 years of experience in a law firm with exposure to complex legal transactions
- Strong expertise in contract drafting, negotiation, and agreement management
- Proven experience in handling mergers & acquisitions, joint ventures, and corporate transactions
- Good understanding of IPR and regulatory compliance frameworks
- Ability to independently manage multiple high-stakes legal matters with attention to detail
- Strong stakeholder management and communication skills
- Analytical mindset with strong problem-solving capabilities
- Comfortable operating in a dynamic, fast-paced environment with high ownership
