About the Role:

As a Senior Director / VP Legal and Business Affairs Counsel, you will play a key role in providing legal support and strategic advice to our organization. You will be responsible for handling a wide range of legal matters, including contract drafting and negotiation, intellectual property rights, licensing agreements, compliance, and risk management. 

This role requires a strong focus on supporting complex business transactions within the music industry, including structuring and negotiating agreements related to music rights, distribution, and strategic partnerships. You will work closely with finance and executive leadership to assess deal structures, evaluate risk, and ensure alignment between legal frameworks and business objectives.

You will also be expected to operate with a solid understanding of financial concepts relevant to the business, including deal economics, revenue structures, and key performance metrics, contributing to informed decision-making in transactions and ongoing operations.

Primary Responsibilities:

● Drafting and negotiating agreements that involve complex financial structures, including revenue-sharing arrangements, minimum guarantees, advances, and recoupment mechanics within music distribution and rights-based transactions.

● Ensure that contractual terms and conditions protect the organization's interests and comply with legal requirements

● Collaborate with internal stakeholders to identify and address legal risks and negotiate favorable terms

● Support due diligence efforts related to music catalog acquisitions and rights-based transactions, including analysis of revenue streams, contractual obligations, and asset performance.

●Develop strategies that protect and maximize the commercial value of intellectual property assets.

●Maintain awareness of evolving practices in music rights, digital distribution, and deal structuring impacting the business.

●Establish frameworks that support scalable transaction execution and financial risk mitigation across business operations.

●Support compliance with applicable data protection and privacy regulations across business operations.

●Deliver legal guidance that incorporates both legal and financial implications of business decisions and transactions

● Collaborate with cross-functional teams to ensure legal considerations are incorporated into business strategies

● Assess potential legal and business risks, propose mitigation strategies, and offer creative solutions to complex issues

● Collaborate with external legal counsel in litigation matters, including strategy development and document review

● Provide support in preparing legal documents and gathering evidence for legal proceedings

Experience and Qualifications:

● Juris Doctor (JD) degree from an accredited law school

● Admission to the Bar in the relevant jurisdiction

● Experience supporting or leading complex transactions involving music rights, catalog acquisitions, or structured commercial deals

● Minimum 10 years of experience within the music industry, including direct involvement in music distribution, record deals, and acquisitions.

●Working knowledge of financial concepts relevant to the business, including deal economics, revenue structures, and key performance metrics (e.g., EBITDA, margins, or similar)

● Excellent drafting, negotiation, and communication skills

● Ability to work independently, manage multiple projects simultaneously, and meet deadlines

● Strong analytical and problem-solving abilities

● Attention to detail and a commitment to accuracy and quality in work
