The Corporate Development Associate plays a key role in supporting Nebius’s capital formation strategy and execution across debt, equity and structured capital soutions to support the company’s rapid expansion. This role drives financial analysis, supports execution of financing transactions, and works closely with internal and external stakeholders to optimise capital structure and fund growth initiatives. In addition, the role may also support M&A and related strategic initiatives.
The position requires strong financial and capital markets acumen, the ability to manage multiple work streams, and a proactive approach to evaluating financing options in dynamic market environments.

Your responsibilities will include:
- Support the evaluation and execution of fundraising initiatives across a broad spectrum of instruments.
- Work closely with in-business finance and FP&A colleagues to build and maintain detailed financial models to assess capital structure, cost of capital, leverage capacity, and scenario outcomes.
- Prepare materials for financing processes, including investor presentations, lender materials, and internal investment memoranda.
- Coordinate work streams across financing transactions, working with internal teams (finance, legal, treasury) and external advisors (banks, investors, rating agencies).
- Support structuring of financing solutions, including debt instruments, hybrid securities, and other tailored capital solutions.
- Manage data rooms, diligence processes, and information flows for investors and lenders.
- Track and maintain relationships with financing counter parties, including banks, institutional investors, and alternative capital providers.
- Provide analytical support for broader corporate development activities, including selective M&A or strategic investments as needed.
We expect you to have:
- 3+ years of experience in investment banking, capital markets, private credit, structured finance, or related roles.
- Strong understanding of debt products, equity and equity-linked instruments, and capital markets dynamics.
- Experience supporting or executing financing transactions (e.g., debt issuance, structured financing, equity raises).
- Advanced financial modelling skills, including capital structure analysis and scenario modelling.
- Strong analytical and problem-solving skills with high attention to detail.
- Excellent communication skills and experience preparing materials for internal and external stakeholders.
- Ability to manage multiple work streams and operate effectively in fast-paced environments.
- High level of ownership, judgement, and ability to work with ambiguity.
It will be an added bonus if you have:
- Experience with structured finance, private credit, or hybrid instruments.
- Exposure to technology, infrastructure, or high-growth environments.
- Understanding of M&A processes.
