About the Role

We are seeking a highly motivated and detail-oriented Legal Counsel – M&A to join our growing legal team and support the company’s corporate and transactional activities.
This is an excellent opportunity for a talented attorney with 4+ years of experience at a top-tier law firm who is looking to transition into an in-house legal position within a dynamic, fast-growing tech company operating across multiple regions (Israel, LATAM, and the US).

You will play a key role in supporting mergers and acquisitions, strategic investments, joint ventures, and corporate governance matters, while collaborating with our Finance, Product, HR, and Business Development teams.

Key Responsibilities

  • Provide end-to-end legal support for M&A transactions, including due diligence, term sheet and SPA negotiations, and post-closing integration.
  • Draft, review, and negotiate a wide range of commercial agreements, including investment, partnership, licensing, and equity documents.
  • Advise management and cross-functional teams on company structure and compliance.
  • Partner closely with Finance, HR, Operations, and R&D to align legal frameworks with business goals.
  • Manage and coordinate external counsel during cross-border transactions and due diligence processes.
  • Support the development of internal legal operations – templates, contract repositories, approval workflows, and risk management processes.
  • Contribute to a culture of proactive risk assessment, clear communication, and collaborative decision-making.

Requirements

  • LL.B and licensed to practice law in Israel.

  • 4+ years of experience as an attorney in a reputable law firm, preferably in Corporate / M&A practice.

  • Proven experience supporting M&A or financing transactions, including due diligence and drafting acquisition or investment agreements.

  • Strong legal drafting and negotiation skills, with high attention to detail.

  • Excellent business judgment and ability to balance legal risk with practical business needs.

  • Understanding of labor law - big advantage

  • Excellent English (written and verbal) – ability to work across global teams.

  • Self-driven, organized, and capable of managing multiple projects simultaneously.

  • A positive, collaborative, and solutions-oriented mindset.
