Job Description
We are looking for a highly organised and detail-oriented Assistant Company Secretary to support the delivery of an effective corporate governance framework across the business. This role plays a key part in ensuring compliance with statutory and regulatory obligations, maintaining accurate corporate records, and supporting the smooth running of board and committee processes.
You will work closely with senior stakeholders, including directors and executives, contributing to high standards of governance and operational efficiency across a complex, multi-entity structure.
What you’ll be doing
- Maintaining statutory registers and corporate records in line with the UK Companies Act
- Preparing and filing statutory documents with Companies House within required deadlines
- Supporting the administration of group entities, including maintaining structure charts and entity management systems (e.g. Diligent Entities)
- Assisting with board and committee processes, including scheduling meetings, preparing agendas, compiling board packs, and minuting meetings
- Tracking governance actions and ensuring timely follow-up and completion
- Monitoring compliance deadlines and ensuring all regulatory requirements are met
- Ensuring governance documentation is accurate, up to date, and accessible
- Supporting internal stakeholders with governance-related queries, including KYC and due diligence requests
- Assisting with corporate changes such as director appointments, share allotments, and structural updates
- Liaising with external advisors including legal counsel, auditors, and registrars
- Supporting the administration of share/equity incentive programmes
- Contributing to continuous improvement of company secretarial processes, including the use of digital tools and AI to enhance efficiency
Qualifications
What we’re looking for
- Experience working within a company secretarial or legal environment
- Strong knowledge of the UK Companies Act and corporate governance requirements
- Excellent organisational skills with high attention to detail
- Strong communication skills, with the ability to work confidently with senior stakeholders
- Ability to manage multiple priorities and meet deadlines in a fast-paced environment
- Proactive mindset with a focus on process improvement
Desirable experience
- Experience in a listed (plc) environment
- Exposure to US regulatory frameworks (e.g. SEC requirements)
- Experience supporting share plans or equity incentive programmes
- Familiarity with multi-jurisdictional entity management
- Relevant qualification (e.g. Law degree or CGI/Chartered Governance Institute – completed or in progress)
